As an authorized affiliate (Affiliate) of HT Strenger Plumbing, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting HT Strenger Plumbing as an Affiliate.
Your participation in the Program is solely to legally advertise our website to receive a commission on memberships and products purchased by individuals referred to HT Strenger Plumbing by your website or personal referrals.
By signing up for the HT Strenger Plumbing Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.
Enrollment in the Program.
If you are located in the United States, you may submit a completed Program application to begin the enrollment process ("Application"). Applications received from persons outside of the United will not be accepted. Submission of your Application to the Program confirms your acceptance to be bound by the terms set forth in this Agreement. You represent and warrant that all information provided by you in your application is accurate and complete and that you are authorized to submit the application and be bound by the obligations in this Agreement and the terms and conditions of the Program. We will evaluate your Application and notify you of your acceptance or rejection. We may reject your Application if, in our sole discretion, we determine for any reason that your website is unsuitable for the Program.
Unsuitable websites include, but are not limited to, those that:
• Promote sexually explicit material;
• Promote violence or hate toward any persons or groups;
• Promote illegal activities;
• Promote alcohol, tobacco, gambling/lottery in any way;
• Promote the use of pyramid, "ponzi", or similar investment schemes;
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
• Contain, in our sole judgment, material that is defamatory, fraudulent, or harassing to us or any third party;
• Are known as "blogging sites", defined for purposes of this Agreement as sites that contain only blogging and no other form of informational content;
• Otherwise violate intellectual property rights of HT Strenger Plumbing;
• Disparage HT Strenger Plumbing;
• Are under construction or not live at the time of Application;
• Are non-U.S. or Canada-based or are websites that primarily serve a non-U.S. or Canada-based audience;
• Do not clearly state an online privacy policy to its visitors; or
• Provide a portion of their Referral Fees (as defined in Section 5 below) to websites or organizations that would violate any of the above criteria.
Regardless of your acceptance in the Program, we may terminate this Agreement for any reason, at any time.
The terms of our acceptance criteria are subject to change at any time without prior notice.
All decisions for acceptance into the Program will be made within our sole discretion.
If your Application is not accepted, you may reapply to the Program at any time; however, you should not and may not link to our Site unless you are approved for the Program.
Approval or Rejection of the Application
We reserve the right to approve or reject ANY Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.
Commissions
Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 31 days.
You cannot refer yourself, and you will not receive a commission on your own accounts.
Payments will only be sent for transactions that have been completed. Transactions that result in chargebacks or refunds will not be paid out.
Termination
Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:
Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
Spamming (mass email, mass newsgroup posting, etc.).
Advertising on sites containing or promoting illegal activities.
Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
Violation of intellectual property rights. HT Strenger Plumbing  reserves the right to require license agreements from those who employ trademarks of HT Strenger Plumbing to protect our intellectual property rights.
Offering rebates, coupons, or other form of promised kick-backs from your affiliate commission as an incentive. Adding bonuses or bundling other products with HT Strenger Plumbing, however, is acceptable.
Self referrals, fraudulent transactions, suspected Affiliate fraud.
In addition to the foregoing, HT Strenger Plumbing reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason.
Affiliate Links
You may use graphic and text links both on your website and within in your email messages. You may also advertise the HT Strenger Plumbing site in online and offline classified ads, magazines, and newspapers.
You may use the graphics and text provided by us, or you may create your own as long as they are deemed appropriate according to the conditions and not in violation as outlined in the Termination section.
Coupon and Deal Sites
HT Strenger Plumbing occasionally offers coupon to select affiliates and to our newsletter subscribers. If you’re not pre-approved / assigned a branded coupon, then you’re not allowed to promote the coupon. Below are the terms that apply for any affiliate who is considering the promotion of our products in relation to a deal or coupon:
Affiliates may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized deals to the specific affiliate.
Affiliates may not bid on HT Strenger Plumbing  Coupons, HT Strenger Plumbing Discounts or other phrases implying coupons are available.
Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating specific savings by clicking on a clearly marked link, button, or image for that particular coupon or deal. Your link must send the visitor to the merchant site.
Users must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to merchant site” is NOT allowed).
Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation, when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.
Pay Per Click (PPC) Policy
PPC bidding is NOT allowed without prior written permission.
Limitation of Liability
HT Strenger Plumbing will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intent of harm to the Program and/or to our website(s).
We will not be liable for indirect, special, punitive, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total Referral Fees paid or payable to you under this Agreement during the immediately prior twelve (12) months.
We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by HT Strenger Plumbing. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
Disclaimers
We make no express or implied warranties or representations with respect to the Program. In addition, we make no representation that the operation of our Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors; however, we will make commercially reasonable efforts to correct errors or interruptions promptly.
Terms of the Agreement
The terms of the Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.
The terms and conditions of this agreement may be modified by us at any time. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account. Your continuing participation in the Program will constitute your acceptance of any change.
Indemnification
You acknowledge that by entering into and performing its obligations under this Agreement, we do not assume and should not be exposed to the business and operational risks associated with your business, or any aspects of the operation or content of your website(s). Accordingly, in addition to any other indemnification obligations contained in this Agreement, YOU SHALL PROTECT, DEFEND, HOLD HARMLESS AND INDEMNIFY US AND OUR PARENT OR RELATED ENTITIES AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESORS AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, PROCEEDINGS, LIABILITIES, LOSSES, DAMAGES, TAXES, FEES, FINES, PENALTIES, INTEREST, JUDGMENTS, OBLIGATIONS, COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, COURT COSTS AND REASONABLE ATTORNEYS' FEES, EXPERT WITNESS FEES, AND COSTS OF LITIGATION), EVEN IF SUCH CLAIMS ARE GROUNDLESS, FRAUDULENT OR FALSE, INCURRED AS A RESULT OF CLAIMS OF CUSTOMERS OR OTHER THIRD PARTIES ARISING FROM OR CONNECTED WITH THE DEVELOPMENT, OPERATION, MAINTENANCE AND/OR ANY OF THE CONTENT OR ACTIVITIES OF YOUR WEBSITE (INCLUDING ,WITHOUT LIMITATION, ANY ACTIVITIES OR ASPECTS THEREOF OR COMMERCE CONDUCTED THEREON) OR RELATED BUSINESS, ANY FALSE STATEMENTS OR INCOMPLETE INFORMATION PROVIDED IN YOUR APPLICATION, YOUR MISUSE, UNAUTHORIZED MODIFICATION OR UNAUTHORIZED USE OF THE SERVICES OR MATERIALS PROVIDED BY US HEREUNDER, AND/OR RESULTING FROM OR IN CONNECTION WITH YOUR VIOLATION OF ANY OF THE TERMS OR PROHIBITIONS CONTAINED IN THIS AGREEMENT OR ANY LAW, RULE OR REGULATION, INCLUDING WITHOUT LIMITATION, CLAIMS FOR VIOLATIONS OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS, AND RIGHTS OF PRIVACY, INCLUDING BUT NOT LIMITED TO CAN-SPAM AND COPPA.
Miscellaneous
This Agreement will be governed by the laws of the State of Illinois without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to the foregoing restriction on assignment, this Agreement will be binding on, inure to the benefit of, and enforceable against each of the parties and their respective successors and assigns. Our failure or agreement not to enforce your strict performance of any provision of this Agreement in a given instance will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
Electronic Signatures Effective
The Agreement is an electronic contract that sets out the legally binding terms of your participation in the HT Strenger Plumbing affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the HT Strenger Plumbing application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
We reserve the right in our sole discretion to modify these requirements at any time.
